1. Definitions
- “We / Us / Our” means [Your Company Name] Ltd.
- “You / Customer” means the person or business placing an order.
- “Goods” means customised or non-customised garments or products supplied by us.
- “Services” means printing, embroidery, design, finishing, or related work.
- “Artwork” means any logos, text, images, or files supplied by you.
2. Orders
2.1 All orders are subject to acceptance by us.
2.2 Once an order is confirmed (verbally, by email, or in writing), it is binding.
2.3 Orders for customised or personalised goods cannot be cancelled once production has started.
3. Artwork & Proof Approval
3.1 You are responsible for ensuring that all artwork, spellings, colours, sizes, and layouts are correct.
3.2 Proofs (digital or physical) must be approved by you before production.
3.3 Once approved, we accept no responsibility for errors that appear in the final product.
3.4 We do not check artwork for trademark, copyright, or legal compliance.
4. Intellectual Property & Copyright
4.1 You warrant that you own or have permission to use all artwork supplied.
4.2 You agree to indemnify us against any claims arising from copyright, trademark, or intellectual property infringement.
4.3 We reserve the right to refuse any artwork we believe may be offensive, illegal, or infringing.
5. Colours, Sizes & Tolerances
5.1 Due to the nature of printing and embroidery, colour variations may occur.
5.2 Screen, digital, and embroidered colours may differ from on-screen previews.
5.3 A tolerance of ±5% in colour, placement, or size is considered acceptable.
5.4 Garment sizing is subject to manufacturer tolerances.
6. Customer-Supplied Garments
6.1 Goods supplied by you are printed entirely at your risk.
6.2 We are not liable for damage caused by printing or embroidery on customer-supplied items.
6.3 No compensation will be offered for faulty, damaged, or unsuitable customer-supplied garments.
7. Prices & Payment
7.1 All prices are exclusive of VAT unless stated otherwise.
7.2 Payment is required at point of order unless otherwise agreed.
7.3 We reserve the right to withhold goods until full payment is received.
7.4 Late payments may incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
8. Delivery
8.1 Delivery dates are estimates, not guarantees.
8.2 We are not liable for delays caused by couriers, suppliers, customs, strikes, or force majeure events.
8.3 Risk passes to you on delivery.
9. Returns & Refunds
9.1 Customised or personalised goods are non-returnable and non-refundable, except where faulty.
9.2 Faulty goods must be reported within 5 working days of delivery.
9.3 We may require photographic evidence before agreeing a remedy.
9.4 Our liability is limited to repair, replacement, or refund at our discretion.
10. Defects & Liability
10.1 We are not responsible for:
- Normal wear and tear
- Damage caused by washing, misuse, or incorrect care
- Print degradation due to fabric quality
10.2 Our total liability shall not exceed the value of the goods supplied.
10.3 We are not liable for indirect or consequential losses, including loss of profit or reputation.
11. Care Instructions
11.1 It is your responsibility to follow garment care instructions.
11.2 We are not liable for print damage caused by incorrect washing, drying, or ironing.
12. Force Majeure
We are not liable for failure or delay due to events beyond our control, including (but not limited to) fire, flood, pandemic, supplier failure, transport disruption, or government action.
13. Termination
We reserve the right to cancel or suspend orders where:
- Payment is overdue
- Artwork infringes third-party rights
- Abusive or unreasonable behaviour occurs
14. Governing Law
These Terms & Conditions are governed by English law.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England & Wales.
15. Acceptance
Placing an order with us constitutes acceptance of these Terms & Conditions.
